A “non-disclosure agreement” is a contract wherein all parties promise to maintain the confidentiality of secret information disclosed for the purpose of an intellectual property review. It usually occurs in the context of royalty agreement negotiations, a potential manufacturing agreement, or during an employment or other type of business transaction.
